Our Terms

Welcome to Kadosh Softwares (kadoshsoftwares.com). By engaging with us for web development, mobile app creation, UI/UX design, or technical support, you agree to the terms and policies outlined below. These Terms of Service are intended to ensure clarity, set mutual expectations, and create a foundation of professionalism and trust.

1. Payment Terms

All projects initiated with Kadosh Softwares require a 50% upfront deposit before any design, planning, or development work begins. This deposit is non-refundable and serves as a commitment from the client, allowing us to allocate internal resources, schedule work, and initiate discovery and planning phases with full confidence.

The remaining 50% project balance is split into two equal payments. The second payment of 25% at the halfway point, typically after the core features or designs have been reviewed and approved. The final 25% is due immediately upon project completion, prior to deployment, release of files, source code handoff, or domain transfer. Delays in the final payment may result in withheld delivery or restricted access until the account is fully settled.

For larger or phased projects, milestone-based billing may be established. In such cases, clients will be invoiced upon completion of each phase and must settle balances before the next stage begins.

2. Refunds

Due to the custom nature of digital products and services, we do not offer refunds once work has started. The 50% upfront payment is non-refundable under all circumstances, even if the client chooses to discontinue the project or becomes unresponsive.

Refund requests related to dissatisfaction must be accompanied by documented proof that Kadosh Softwares failed to meet the agreed project scope or deliverables as outlined in the signed agreement or approved proposal. In such cases, we may offer partial credit or rework, but full refunds are not issued under any circumstances.

Please note: Time invested in communication, project management, and consultation is also considered billable and part of the service delivery. Refunds are not provided for intangible work such as design iterations, UI/UX wireframes, development setups, or consultation hours.

3. Project Scope and Timeline

Every project begins with a clearly defined scope of work, agreed upon by both parties. This includes the deliverables, technologies used, number of revisions, and estimated completion timeline. Any requests outside the agreed-upon scope will be considered change requests and may be subject to additional charges and extended timelines.

Kadosh Softwares follows an agile and transparent development process. We provide clients with updates at key milestones, which may include design approvals, development checkpoints, and final reviews. Delays in client feedback, content submission, or approvals may push the project timeline.

4. Client Responsibilities

Clients are responsible for providing all necessary assets required to complete the project. This includes, but is not limited to, logos, brand guidelines, written content, images, and access credentials for third-party services (such as hosting, APIs, or domain registrars). Timely delivery of these materials is essential to keep the project on schedule. Delays in providing required assets may lead to project rescheduling or extended timelines.

If clients require assistance with any of the necessary assets such as branding, logo design, content writing, image sourcing, or other creative materials, Kadosh Softwares can provide these services as part of an add-on package. These services are offered separately from the main project scope and will incur additional costs, which will be clearly outlined and agreed upon before work begins.

The client is expected to remain communicative throughout the duration of the project. In cases where a client becomes unresponsive for 15 business days or more without prior notice, the project may be considered on hold, and additional fees may be applied to resume work.

5. Ownership & Intellectual Property

Once final payment is received, Kadosh Softwares transfers full ownership of the completed digital assets to the client, including source files, deployed websites, or application code. This does not include ownership of third-party plugins, licensed stock imagery, or proprietary tools used during development, unless otherwise agreed in writing.

Until full payment is made, all assets and code remain the intellectual property of Kadosh Softwares. Unauthorized use or distribution before final payment may result in legal action.

We reserve the right to showcase non-confidential work in our portfolio and marketing materials. Clients may request to opt out of public display of their project, but this must be agreed upon before the start of the project.

6. Support and Maintenance

Kadosh Softwares offers ongoing technical support, performance monitoring, and maintenance services through separate retainers or service level agreements (SLAs). Unless specified in your project contract, ongoing support is not included after the project has been delivered.

Bugs identified within 30 days of project delivery will be fixed free of charge. Any issues arising after this window, or those caused by third-party interference, hosting environments, or user modifications, may incur additional charges.

7. Limitation of Liability

Kadosh Softwares shall not be liable for any direct, indirect, incidental, or consequential damages that result from the use or inability to use any service or product delivered. Clients are responsible for ensuring their hosting, security, and data compliance needs are met unless part of a managed hosting agreement.

We cannot guarantee uptime or performance of services hosted on third-party platforms or those affected by external vendors. Clients are advised to perform regular backups and updates if managing their own hosting environments.

Kadosh Softwares does not guarantee any specific financial results or business growth from the delivered services. Improvements in revenue, customer engagement, or market presence depend on factors beyond our control, such as marketing efforts, pricing strategies, and overall business management. Clients are responsible for their own marketing and promotional activities to achieve desired outcomes.
